These Terms of Service ("Terms") are an agreement between you and Carz Inc, 5095 Covington Way, Memphis, TN 38134 ("Carz Inc," "we," "us," or "our"), and govern your use of carzinc.ai and the Carz Inc app (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Carz Inc is a used vehicle dealership. The Service lets:
Buyers (licensed dealers and their staff) browse our wholesale inventory, reserve vehicles and communicate with us
Employees of Carz Inc manage inspections, repairs, vehicle locations and daily work
There is no charge to use the Service. Vehicle purchases are governed by the bill of sale and purchase documents for that vehicle, not by these Terms.
3. Accounts
You must be at least 18 years old and provide accurate information, including a mobile number you are authorized to use
You are responsible for activity on your account and must keep your sign-in codes private
Employee accounts are approved by Carz Inc and may be limited or closed when employment ends
Listing details, photos, condition notes and prices are provided in good faith but may contain errors; inspect a vehicle or ask us before relying on them
Vehicles are subject to prior sale until reserved and confirmed by Carz Inc
A reservation holds a vehicle for you; we may release a reservation that is not completed
Prices and availability may change without notice
5. Acceptable Use
You agree not to:
Break any law or use the Service to harass, mislead or defraud anyone
Try to access accounts, data or parts of the Service you are not authorized to use
Interfere with the Service or upload malicious code
Copy or republish our listings or photos without permission
Enter false information, including false vehicle condition or inspection data
6. Text Messaging
Carz Inc runs two text programs, each with its own optional checkbox at sign-up and under Account → Text messages. Full program terms are in our SMS Terms.
Carz Inc work and account notifications: work assignments, daily checklists, vehicle status alerts and replies to your questions
Carz Inc vehicle offers: cars we have for sale matched to what your dealership has bought before
You receive a confirmation text when you opt in
Message frequency varies. Message and data rates may apply
Reply STOP to any message to opt out. Reply HELP for help
Agreeing to receive texts is not a condition of creating an account or of any purchase
Carriers are not liable for any delayed or undelivered messages

Sign-in codes are sent by text whenever you request one, whether or not you opted in to either program.
7. Our Content
The Service, its software, design and listing content belong to Carz Inc. We grant you a limited, revocable, non-transferable right to use the Service for its intended purpose.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of Liability
To the extent permitted by law, Carz Inc is not liable for indirect, incidental, special or consequential damages arising from your use of the Service. Nothing in these Terms limits rights you have under the purchase documents for a vehicle or under law that cannot be waived.
10. Termination
We may suspend or close an account that violates these Terms. You may stop using the Service and delete your account at any time.
11. Governing Law
These Terms are governed by the laws of the State of Tennessee. Any dispute will be brought in the state or federal courts located in Shelby County, Tennessee.
12. Changes
We may update these Terms. We will post the new version here and update the date above. Continuing to use the Service after a change means you accept it.
